  1. Confidential information. The offering memorandum, financials, rent rolls, leases, and every other document or detail made available through this deal room (the “Materials”), including — except to the extent Earnest CRE has itself made it public — the fact that the property is available for acquisition, are confidential.
  2. Permitted use. I will use the Materials solely to evaluate a possible acquisition of the property and will not copy, distribute, or disclose them to anyone except attorneys, accountants, lenders, and advisors who need them for that evaluation and who agree to be bound by these terms. I remain responsible for their compliance.
  3. Non-disturbance. I will not contact or disturb tenants, occupants, on-site staff, property management, or the owner’s employees or lenders, and I will not visit the property except as an ordinary member of the public or on a visit arranged by Earnest CRE.
  4. Inquiries through Earnest CRE. All questions, requests, offers, and negotiations concerning the property will be directed exclusively through Earnest CRE. I will not approach the owner directly or otherwise circumvent Earnest CRE.
  5. No representation or warranty. The Materials come from the owner and other sources deemed reliable, but neither Earnest CRE nor the owner makes any representation or warranty as to their accuracy or completeness, and projections are estimates only. I will rely solely on my own investigation and the advice of my own advisors.
  6. Principal capacity. I am acting either as a principal for my own account or in the representative capacity I disclosed on this form. I am not entitled to any fee or commission from the owner or Earnest CRE in connection with the property unless separately agreed in writing.
  7. No obligation to sell. The owner may amend or withdraw the offering, decline any offer, and negotiate with any party at any time, in its sole discretion, without liability to me.
  8. Return of materials. Upon Earnest CRE’s request, or when I stop evaluating the property, I will destroy or return the Materials and all copies, extracts, and notes derived from them.
  9. Term. These obligations take effect when I submit this form and continue until the earlier of the property’s sale or two (2) years from acceptance.
  10. Remedies and governing law. A breach of these terms may cause the owner and Earnest CRE irreparable harm for which money damages would be inadequate, entitling them to injunctive relief in addition to any other remedy. This agreement is governed by the laws of the State of Florida.
  11. Electronic acceptance. Checking the acceptance box and submitting this form constitutes my electronic signature and creates a binding agreement covering me and any entity on whose behalf I act, effective as of the date and time of submission recorded by Earnest CRE. Earnest CRE records the date, time, and IP address of acceptance as evidence of this agreement.
